SIX Exchange Regulation initiates an investigation against Dufry Ltd onthe grounds of possible breaches of the rules governing the disclosure of management transactions.
Having finished its preliminary investigation SIX Exchange Regulation has initiated an investigation against Dufry Ltd on the grounds of possible breaches of the obligations regarding the disclosure of management transactions. The investigation is connected to the repeated late publication of management transactions.
Investigatory proceedings will continue for an indefinite period. SIX Exchange Regulation will announce the findings, however, no information will be provided while the investigation is ongoing.
Obligation to disclose management transactions
The disclosure of management transactions promotes the provision of information to investors and contributes to the prevention and prosecution of market abuse.
Issuers with a primary listing on SIX Swiss Exchange have a number of obligations in relation to the disclosure of management transactions. Issuersmust ensure, for example, that members of the Board of Directors and ExecutiveBoard notify the issuer of any transactions involving the issuer's equity securities, or related financial instruments, within two trading days. Issuers are also required to report any management transactions notified to them toSIX Exchange Regulation and to publish such information within three tradingdays.
